Terms governing the use of the Tálamo platform

1. Purpose of the Service

These Terms and Conditions govern access to and use of the Tálamo digital platform (hereinafter, "the Platform"), operated by Talamo Solutions LTD (hereinafter, "Tálamo" or "We").

• Tálamo is a technology platform that provides educational tools, market analysis, risk management calculators, and copy trading strategy filtering services.
• The Platform is designed exclusively for informational and educational purposes.
• The services offered do NOT constitute financial, investment, tax, or legal advice of any kind.

2. Definitions

• User: Any individual of legal age who accesses and uses the Platform.
• Account: User's personal registration that allows access to the Platform's functionalities.
• Content: All information, data, texts, graphics, tools, and materials available on the Platform.
• Services: Set of educational functionalities and analysis tools offered through the Platform.
• Broker: Regulated financial entity where the User executes their trading operations (e.g., Exness).

3. Registration and User Account

To access certain functionalities of the Platform, the User must create an account by providing truthful, complete, and up-to-date information.

• The User must be at least 18 years old or of legal age in their jurisdiction.
• The User is responsible for maintaining the confidentiality of their access credentials.
• Any activity carried out from the User's account will be their sole responsibility.
• Tálamo reserves the right to suspend or cancel accounts that violate these terms.

4. User Obligations

By using the Platform, the User agrees to:

• Use the Platform lawfully and in accordance with these Terms.
• Not reproduce, distribute, or commercialize content without express authorization.
• Not attempt to access systems or data in an unauthorized manner.
• Not use the Platform for fraudulent or illegal activities.
• Keep their registration information up to date.
• Assume full responsibility for their investment decisions.

5. Prohibited Use

The following is expressly prohibited:

• Using the Platform to spread false or misleading information.
• Reverse engineering or attempting to extract the source code.
• Using automated systems to extract data from the Platform.
• Impersonating third parties.
• Interfering with the normal operation of the Platform.
• Using educational content to create competing services without authorization.

6. Intellectual Property

All intellectual property rights over the Platform and its content belong to Tálamo or its licensors.

• Trademarks, logos, designs, and content are protected by intellectual property laws.
• The User obtains only a limited, non-exclusive, and revocable license for personal use.
• No ownership rights over the content are transferred to the User.
• Unauthorized use of the content may result in legal action.

Use through artificial intelligence clients

Users may authorize MCP-compatible clients to access a limited set of Tálamo capabilities.

• Authorization uses OAuth and can be revoked in Settings.
• Actions that create or change data require a separate confirmation inside Tálamo.
• No client can open, close, or modify broker trades.
• Users are responsible for reviewing the policies of the AI client they choose.

8. Relationship with External Brokers

Tálamo operates as an Introducing Broker (IB) for Exness, which implies:

• Tálamo receives a spread commission when Users trade through linked accounts.
• This commission does NOT increase costs for the User.
• The trading contractual relationship is directly between the User and Exness.
• For copy trading we store an encrypted trading password for the account you connect, solely to read and replicate trades; it never allows withdrawals. You can change or disconnect it anytime.
• If you sign up through a partner's page, that partner sees your name, your masked contact info, and your access status.
• The User is free to choose any broker of their preference.

9. Payments, Fees, and Charges

If you use copy trading or sign up through a partner's page, here is what gets charged and how:

• The fee is charged on the new profit the copy generates, at the percentage the strategy provider sets; you see it before you turn it on.
• Charges go to the card you saved; Stripe processes the payment and Tálamo never sees the full card number.
• The fee accrues until it reaches a minimum of 5 USD before it is charged.
• Each provider sets a grace period of 3 to 30 days to pay an outstanding fee.
• If the grace period expires unpaid, the copy is paused; your open positions are NOT closed.
• Partner pages may charge a monthly access fee, paid by the partner or by you, depending on what you agree.
• Tálamo keeps a percentage of every charge before passing on the rest to the provider or the partner.
• All amounts are stated and charged in USD.
• No refunds, except where a calculation error is demonstrated.

10. Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW:

• Tálamo will NOT be liable for financial losses arising from the User's investment decisions.
• Tálamo does NOT guarantee the accuracy, completeness, or timeliness of the information provided.
• Tálamo will NOT be liable for service interruptions or technical errors.
• Copy trading strategies are operated by third-party providers, without Tálamo's supervision or guarantee.
• Replication of trades can fail, lag, or differ from the original strategy due to the broker, the network, or account limits.
• The User uses the Platform at their own risk and responsibility.
• In no event shall Tálamo's total liability exceed what the User paid to Tálamo in the last 12 months, fees and charges included.

11. Modifications to the Terms

Tálamo reserves the right to modify these Terms at any time.

• Modifications will be notified through the Platform or by email.
• Continued use of the Platform after notification constitutes acceptance of the new terms.
• If the User does not accept the modifications, they must cease using the Platform.

12. Termination

Tálamo may suspend or terminate the User's access to the Platform:

• For breach of these Terms and Conditions.
• For fraudulent or illegal use of the Platform.
• At the express request of the User.
• By unilateral decision of Tálamo with 30 days prior notice.

13. Jurisdiction and Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Estados Unidos.

• Any dispute shall be submitted to the exclusive jurisdiction of the courts of Delaware, Estados Unidos.
• The parties expressly waive any other forum that may correspond to them.
• In case of partial nullity, the remaining provisions shall remain in force.
